Terms and Conditions

1. General

These general terms and conditions apply to all offers, quotations and agreements between Gema Fast B.V. ("Gema") and its clients or buyers ("Client").

Deviations from these terms are only valid if expressly agreed in writing.

2. Offers and Agreements

All offers from Gema are non-binding unless expressly stated otherwise. An agreement is only established after written confirmation by Gema or by actual execution of the assignment.

3. Prices and Payment

Prices quoted by Gema are exclusive of VAT and exclusive of any shipping, transport and packaging costs, unless otherwise agreed.

Payment must be made within 30 days of the invoice date, unless otherwise agreed in writing.

4. Delivery and Delivery Time

Stated delivery times are indicative and never to be regarded as strict deadlines. Exceeding a delivery time does not entitle the Client to compensation or dissolution of the agreement, unless there is intent or gross negligence.

5. Warranty and Liability

Gema guarantees that the delivered products meet the agreed specifications and are free from material and manufacturing defects.

Gema's liability is limited to the amount paid out by the business liability insurance in the relevant case, or to the invoice amount of the delivery.

6. Applicable Law

Dutch law exclusively applies to all legal relationships in which Gema is a party. Disputes will be submitted to the competent court in Gema's district of establishment.
